Terms of Service

Holy Estimate is a cloud-based software platform that helps construction and remodeling professionals create, manage, and track project estimates and related workflows.

You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate registration information, to keep it up to date, and to keep your account credentials confidential. You are responsible for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.

Access to the Services is provided on a subscription basis. Fees are billed in advance on a monthly or annual basis depending on the plan you select and will renew automatically at the end of each billing period unless you cancel in accordance with our Refund and Cancellation Policy. We may change our fees prospectively upon reasonable notice. All fees are exclusive of applicable taxes unless stated otherwise.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription term. You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the Services;
• Resell, sublicense, rent, or lease the Services to any third party without our written consent;
• Use automated means to scrape, extract, or copy data from the Services;
• Use the Services to build a competing product or service; or
• Remove, obscure, or alter any proprietary notices in the Services.

You retain ownership of the data and content you input into the Services, including client information, project details, pricing, and documents ("Customer Data"). You grant us a limited license to host, store, and process Customer Data solely as necessary to provide and support the Services. You are responsible for the accuracy and legality of Customer Data, including obtaining any consents required from your own clients whose information you input into the Services.

Holy Estimate and its licensors retain all right, title, and interest in and to the Services, including the underlying software, technology, design, and the Holy Estimate name and logo. Nothing in these Terms transfers any ownership rights to you other than the limited license granted in Section 4. If you provide feedback or suggestions about the Services, you grant us the right to use that feedback without restriction or compensation.

You agree not to use the Services to: violate any applicable law or regulation; upload or transmit viruses, malware, or other harmful code; infringe the intellectual property or privacy rights of others; harass, abuse, or harm another person; or attempt to gain unauthorized access to, or disrupt the security of, the Services or related systems.

The Services may allow integration with third-party tools and services. Your use of those third-party tools is governed by their own terms and privacy policies, and we are not responsible for the performance, availability, or practices of any third-party service.

The Services are a tool to help you prepare and organize project estimates. Any estimate, calculation, or figure generated using the Services is provided for informational purposes only and does not constitute professional, engineering, or legal advice. You remain solely responsible for verifying pricing, quantities, code compliance, and the overall accuracy and suitability of any estimate before relying on it or presenting it to a client.

Billing, cancellation, and refund terms are set out in our Refund and Cancellation Policy, which is incorporated into these Terms by reference. We may suspend or restrict access to the Services for accounts with an unresolved payment failure, after reasonable notice.

These Terms remain in effect for as long as you maintain an account or subscription. You may cancel your subscription at any time as described in our Refund and Cancellation Policy. We may suspend or terminate your access to the Services if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately in cases of suspected fraud, illegal activity, or security risk. Upon termination, your right to use the Services ends; we will provide a reasonable opportunity to export your Customer Data, except where prohibited by law or where the account was terminated for cause.

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any estimate generated using the Services will be accurate or complete.

To the fullest extent permitted by law, Holy Estimate and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services. Our total liability for any claim arising out of or related to these Terms or the Services will not exceed the amount you paid to us for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless Holy Estimate from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Services in violation of these Terms, or your violation of any applicable law.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state or federal courts located in New York, and each party consents to personal jurisdiction in those courts.

We may update these Terms from time to time. We will update the "Last Updated" date above, and where changes are material, we will provide reasonable notice. Your continued use of the Services after an update constitutes your acceptance of the revised Terms.

These Terms, together with our Privacy Policy, Cookie Notice, and Refund and Cancellation Policy, constitute the entire agreement between you and Holy Estimate regarding the Services. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party will be liable for delays caused by events beyond its reasonable control.
